We represent lenders and creditors in Chapters 7, 11 and 13 and
business debtors in Chapters 7 and 11. The Firm represents
purchasers in connection with the acquisition of business assets
sold in bankruptcy.

Business Organizations and Finance
We incorporate businesses, draft partnership agreements, prepare
shareholder's agreements and provide related advice. We advise
business organizations and equity holders with respect to
finance, corporate, and partnership formalities and disputes.
The Firm conducts legal "audits" to prevent or mitigate
potential liabilities and to identify and correct legally
hazardous business practices.

Civil Litigation
The Firm represents defendants and plaintiffs in all forms of
business litigation including breach of contract, fraud and
unfair business practices. These claims arise out of
transactions or relationships including such areas as banking,
commercial real estate, construction, the purchase or sale of
businesses, employment and insurance, among other areas. The
Firm provides full service litigation support including all
necessary research, discovery, trial, post-trial and appellate
representation.

Collections and Credit Management
We collect commercial debts including debts on accounts and
through contracts. We advise our clients with respect to
purchase documents, credit documents, security interests,
mechanics and other liens, and other credit matters.

Commercial Real Estate
We negotiate, document and close commercial real estate
purchases, leases, loans, and work-out agreements. We represent
lenders, borrowers, developers, landlords, and tenants in
commercial real estate disputes, arbitration and litigation. We
advise clients with respect to federal and state environment
statutes and regulations.

Residential Real Estate
We offer a full range of services pertaining to residential real
estate transactions, including but not limited to, loan
closings, title insurance, title searches, adverse possession,
foreclosure and title concerns.

Construction Law
The Firm represents owners, general contractors, trade
contractors, subcontractors, suppliers, construction managers,
architects, engineers and sureties with respect to claims
arising out of public and private construction projects. Our
services include advice, negotiation and representation in
arbitration, litigation and before government boards. We consult
with our clients with respect to contract documents, the
preparation of claims, the defense of claims and project
documentation procedures.

Employment
We advise clients with respect to employment contracts,
covenants not to compete and policy handbooks. We also advise
clients with respect to compliance with state and federal
employment laws, including the American with Disabilities Act, ERISA and OSHA. We represent clients with respect to litigation
concerning these issues as well as employment discrimination and
related actions.

We advise clients in connection with disputes with insurance
companies concerning direct loss, third-party claims, policy
cancellation and retrospective premiums. We represent insureds
and insurers in litigation concerning insurance contracts, bad
faith and related issues.
